Terms of Service

Effective date: May 1, 2026 · WheelRunner is a product of ZONTIK LLC, a Wyoming limited liability company.

IMPORTANT: Please read these Terms of Service carefully. By creating an account and using WheelRunner, you agree to be bound by these Terms.

These Terms of Service ("Terms") govern your access to and use of WheelRunner (the "Platform" or "Service"), operated by ZONTIK LLC ("ZONTIK", "we", "us", or "our"), a Wyoming limited liability company. References to "you" or "user" mean any person who accesses or uses the Platform.

1. Nature of the Service

WheelRunner provides software tools that enable users to implement the Wheel Options Strategy on their own brokerage accounts. The Platform provides:

  • Rules-based scanning to identify potential options trading opportunities
  • Risk management frameworks configured by and for each individual user
  • Automated execution of orders based solely on rules and parameters set by the user
  • Portfolio monitoring, journaling, and performance analytics
  • AI-assisted education and navigation tools

WheelRunner is a technology platform. It is not a registered investment adviser, broker-dealer, financial planner, or fiduciary. Nothing on this Platform constitutes investment advice, a solicitation, or a recommendation to buy or sell any security.

2. User-Directed Trading — Your Decisions, Your Control

You expressly acknowledge and agree that:

  • All trading rules, risk parameters, position sizing limits, ticker selections, strategy configurations, and automation settings used by the Platform are configured, selected, or approved by you personally.
  • The Platform executes orders solely as a mechanical implementation of rules that you have defined or explicitly selected from pre-built presets.
  • The Platform exercises no independent judgment in making trading decisions.
  • You have reviewed and understood every rule, parameter, and configuration in your active strategy settings before enabling any form of automated execution.
  • You retain full authority at all times to disable automation, cancel pending orders, modify your rules, or disconnect your brokerage account with immediate effect.
  • You are the decision-maker. WheelRunner is the executor.

3. Non-Advisory Disclaimer

By using this Platform you acknowledge that:

  • WheelRunner does not provide personalized investment advice.
  • Preset strategies (Conservative, Balanced, Growth) are general educational frameworks, not tailored recommendations for your specific financial situation.
  • The AI mentor chat feature provides educational information and platform navigation assistance only. AI responses do not constitute investment advice and should not be relied upon as such.
  • Past performance of any strategy, ticker, or approach shown on the Platform does not guarantee or imply future results.
  • You should consult a qualified financial adviser, tax professional, or attorney before making trading decisions if you have any uncertainty about their suitability for your situation.

4. Brokerage Account — Your Ownership, Our Access

  • Your brokerage account remains solely owned and controlled by you. WheelRunner acts as an authorized agent only.
  • You authorize WheelRunner to connect to your brokerage account (today via Alpaca API key + secret you supply during onboarding; via OAuth once our Alpaca OAuth integration is approved) for the purpose of reading account data and placing orders according to your configured rules only.
  • WheelRunner's access is scoped to trading permissions only. WheelRunner has no ability to withdraw funds, transfer assets, or modify account settings.
  • You may revoke WheelRunner's access at any time by disconnecting within Platform settings or directly through your Alpaca account dashboard.
  • WheelRunner does not store your Alpaca account password or login credentials. Brokerage access is established today via Alpaca API key + secret, which are encrypted with AES-256-GCM authenticated encryption before being written to our database, and will transition to OAuth access tokens (same encryption-at-rest model) once our Alpaca OAuth integration is approved. Decryption keys are held only in server memory and tokens are never transmitted to your browser.

5. Risk Acknowledgments — Options Trading

OPTIONS TRADING INVOLVES SIGNIFICANT RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. OPTIONS ARE NOT SUITABLE FOR ALL INVESTORS.

You specifically acknowledge that you understand:

  • Selling cash-secured puts creates an obligation to purchase 100 shares of the underlying stock at the strike price if the option is exercised. This may result in losses if the stock price declines significantly.
  • Selling covered calls limits your upside potential if the underlying stock rises sharply above the call strike price.
  • Options can expire worthless, resulting in the loss of the entire premium if you are on the buying side.
  • Illiquid options markets may result in orders not being filled at expected prices or not being filled at all.
  • Gap moves, earnings surprises, and macroeconomic events can cause option values to change dramatically overnight.
  • IV Rank and IV% data are derived from third-party sources and may be delayed, incomplete, or inaccurate.
  • WheelRunner's risk rules provide structure but do not guarantee protection against loss.

6. Automated Execution

The Auto-Execution feature (available on the Elite plan) allows WheelRunner to place orders in your brokerage account automatically, without requiring your approval for each individual trade. Auto-execution operates exclusively within the risk rules and parameters you have personally configured in Settings.

By enabling Auto-Execution, you explicitly acknowledge and agree that:

  • You have personally reviewed and configured the risk rules, position limits, and strategy parameters that will govern all automated order placement.
  • You accept that automated orders may be placed in your brokerage account while you are not actively monitoring the Platform, including outside of market hours (orders will be queued for the next available session).
  • You are solely responsible for ensuring your configured rules accurately reflect your current risk tolerance, market views, and financial situation at all times.
  • WheelRunner's automated execution of your configured rules does not constitute investment advice, discretionary management, or a fiduciary relationship of any kind.
  • Technical failures, API outages, data latency, market halts, or connectivity interruptions may prevent automated orders from executing as intended. ZONTIK LLC accepts no liability for losses arising from such failures.
  • You may disable Auto-Execution at any time from Settings → Account. Disabling takes effect immediately; any orders already submitted to your broker cannot be cancelled by this action.
  • ZONTIK LLC reserves the right to suspend Auto-Execution access for accounts that exhibit patterns inconsistent with user-directed trading, at its sole discretion, with notice to the account holder.

Auto-Execution is an advanced feature intended for experienced options traders who fully understand the Wheel strategy and its associated risks. Do not enable this feature unless you have thoroughly reviewed your configured rules and are comfortable with automated order placement.

7. Subscriptions and Billing

Subscriptions are managed through Stripe and governed by the pricing displayed at /pricing at the time of purchase.

  • Monthly plans are billed on a recurring monthly basis and may be cancelled at any time. Access continues until the end of the current billing period.
  • Annual plans are billed upfront at 10× the monthly rate (2 months free). A prorated refund is available within 14 days of annual renewal.
  • Upgrading or downgrading mid-cycle is handled automatically with Stripe proration.
  • Failed payments will result in a grace period, after which access may be downgraded to the Free tier.
  • We reserve the right to modify pricing with 30 days' notice to existing subscribers.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ZONTIK LLC's total liability to you for any claim arising from use of the Platform shall not exceed the total subscription fees paid by you in the three (3) months preceding the claim.
  • WheelRunner shall not be liable for any trading losses, missed opportunities, or financial damages of any kind resulting from use or inability to use the Platform.
  • WheelRunner shall not be liable for losses resulting from inaccurate market data, failed order execution, system downtime, or automation errors.
  • You expressly waive any claim against WheelRunner for investment losses arising from following any strategy, preset, or AI-generated information provided by the Platform.

9. Regulatory Acknowledgment

  • ZONTIK LLC (operating WheelRunner) is not registered with the U.S. Securities and Exchange Commission (SEC) as an investment adviser, and does not hold any FINRA registration.
  • The automated execution features of WheelRunner are provided as a technology service that implements rules defined by you, and do not constitute discretionary investment management as defined by the Investment Advisers Act of 1940.
  • You are responsible for understanding and complying with all applicable securities laws and tax regulations in your jurisdiction.

10. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of applicable securities laws
  • Attempt to reverse-engineer, decompile, or access the Platform's source code
  • Use automated scripts to scrape data from the Platform beyond normal use
  • Share account credentials or allow third parties to access your account
  • Use the Platform in a manner that damages, disables, or impairs its operation

11. Intellectual Property

All content, features, and functionality of WheelRunner — including but not limited to text, graphics, software, algorithms, and AI models — are owned by ZONTIK LLC and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for personal trading purposes only.

12. Termination

We reserve the right to suspend or terminate your account at our discretion for material breach of these Terms, fraudulent activity, or conduct that poses a risk to the Platform or other users. You may terminate your account at any time through Settings. Upon termination, your data is retained for 90 days before deletion, during which you may request an export.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in Wyoming under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to your registered address at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. Users who have previously agreed to an earlier version will be prompted to re-accept material updates before accessing the app.
